ARBITRATION NOTICE:

THESE BOYDAN TERMS OF USE (“TERMS”) CONTAIN A MANDATORY ARBITRATION CLAUSE. EXCEPT FOR CERTAIN TYPES OF DISPUTES SPECIFICALLY MENTIONED IN THAT CLAUSE, YOU AND Yachtingverse Technologies Ltd AGREE THAT ANY DISPUTES ARISING FROM THE USE OF THE SERVICES SHALL BE RESOLVED THROUGH FINAL, BINDING INDIVIDUAL ARBITRATION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

The Boydan Terms of Use ("Terms") constitute a legally binding agreement between you and Yachtingverse Technologies Ltd (“Boydan”, “we”, “us”, or “our”). These Terms govern your access to and use of the Boydan mobile application and related consumer services, including any websites, content, features, functionality, check-in systems, messaging tools, virtual currencies, and other social discovery tools provided by us (collectively, the “Services”).

Unless otherwise explicitly stated in these Terms, there are no third-party beneficiaries. These Terms do not apply to our enterprise-level services or commercial agreements. If you are using any Boydan platform feature or service on behalf of a business, government, or enterprise entity, please refer to any applicable enterprise agreement or request an enterprise contract directly from us.

You are responsible for reading and understanding these Terms. By accessing or using the Services, you agree to be bound by these Terms in their entirety. If you do not agree, do not access or use the Services.

1. ACCEPTANCE OF AGREEMENT AND TERMS

1.1 Agreement

By registering for and/or using the Boydan Services in any manner, including but not limited to browsing or using the application, you represent that you have read, understood, and expressly agree to be bound by these Terms. If you do not accept these Terms, you may not use the Services.

1.2 Scope of Terms

These Terms apply to all users of Boydan, including but not limited to individual users, content contributors, users interacting with check-in locations, and businesses utilizing discovery or location features.

1.3 Eligibility

You must be at least 18 years of age to use Boydan. We reserve the right to deny access to any user or entity at our sole discretion and to change eligibility requirements at any time.

1.4 Supplemental Terms

Certain Boydan features may be subject to additional terms (“Supplemental Terms”), including sweepstakes, in-app purchases, regional requirements, and promotions. These Supplemental Terms are in addition to these Terms and prevail in the event of conflict. You must accept any applicable Supplemental Terms to access those features.

Content Moderation and Reporting Rules
Copyright and Trademark Policies

1.5 Updates or Amendments

We may update, modify, or replace these Terms or Supplemental Terms at any time by posting updates in the app, by email, or on our website. Continued use of the Services after changes constitutes acceptance of the updated Terms.

1.6 Accounts

To use Boydan, you may be required to register or log in via a third-party account. You agree to:

Provide accurate and up-to-date account information
Keep your contact details current
Not impersonate others, use offensive names, or provide false data
Not create an account for another person without their consent

We reserve the right to reject or terminate accounts at our discretion.

1.7 Passwords and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify us immediately of any unauthorized use. If your mobile number changes or is deactivated, you agree to update your profile within 48 hours to avoid misdirected communications.

Standard carrier rates may apply to your use of the Services.

1.8 Electronic Notice

You consent to receive communications electronically from Boydan at the email associated with your account. These electronic communications satisfy any legal requirements for written notices.

1.9 Termination or Suspension

We may suspend or terminate your access to the Services at any time, with or without notice or cause, which may result in the deletion of your account and associated data. If you wish to terminate your account, you may do so via the App’s account settings.

Fees paid are non-refundable. Any terms that by nature survive termination—such as intellectual property rights, disclaimers, and limitations of liability—will continue to apply.

2. PRIVACY

In order to provide the Services, Boydan collects and processes personal data in accordance with the Boydan Privacy Policy, which is incorporated herein by reference. The Privacy Policy describes the types of information we collect, how we use it, with whom we share it, and the choices available to users regarding our use of their personal information.

By using the Services, you acknowledge and agree to the practices described in the Privacy Policy, including the collection of location data, behavioral data, and communications data for service improvement, analytics, and promotional purposes.

Users located in jurisdictions with specific privacy regulations (e.g., the European Economic Area or Turkey) may have additional rights under applicable law, including the General Data Protection Regulation (GDPR) and Law No. 6698 on the Protection of Personal Data (KVKK). 3. CONTENT, USER SUBMISSIONS, AND LIMITATIONS

3.1 General

For purposes of these Terms, the term “Content” includes, without limitation, any location information, check-ins, stories, reviews, comments, photos, videos, audio, emojis, usernames, and any other information or media you post, upload, submit, transmit, or otherwise make available through Boydan. User-generated content of this kind is referred to herein as “User Submissions.”

All Content, whether publicly posted or privately transmitted, is the sole responsibility of the user who submitted it. We do not guarantee the authenticity of any Content and you acknowledge that all Content accessed via the Services is at your own risk. You are solely responsible for any damage or loss arising from your use of or reliance on any such Content.

3.2 Boydan Content

Boydan may provide proprietary Content through the Services, including but not limited to designs, software, graphics, and branding assets. This material is protected by intellectual property laws and may not be copied, modified, reproduced, distributed, sold, or reverse-engineered without our express written consent. Subject to your compliance with these Terms, we grant you a limited, non-transferable, non-sublicensable, revocable license to use the Services solely for your personal, non-commercial use.

You may not:

Remove or obscure copyright, trademark, or other legal notices;
Distribute the Services or Content across networks;
Use any part of the Services for commercial purposes;
Attempt to extract or manipulate source code or backend data.

3.3 User Submissions

By submitting content to Boydan, you grant us a non-exclusive, worldwide, royalty-free, fully paid, sublicensable, transferable, and perpetual license to use, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and publicly display and perform such content in connection with the operation and promotion of the Services, including through third-party media platforms.

You also grant each other user of the Services the right to view, share, comment on, and interact with your content within the functionality of the Services. Your continued use of the Services indicates your acceptance of these rights being granted.

You represent and warrant that you own or have the legal right to distribute and license any User Submissions you make and that such content does not violate any third-party rights.

3.4 Limitations

We do not guarantee that User Submissions or other Content will remain available on the Services. We reserve the right to remove, edit, or disable access to any Content or User Submission at any time, with or without notice, for any reason, including but not limited to violation of these Terms or legal obligations.

We may access, preserve, or disclose information if required to:

Comply with law, regulation, or governmental request;
Enforce these Terms;
Respond to user support requests;
Detect, prevent, or address technical issues;
Protect the rights, safety, or property of Boydan, users, or the public.

3.5 Feedback and Unsolicited Ideas

Any feedback, suggestions, or ideas submitted to Boydan may be used without limitation and without any compensation to you. We are not obligated to review or consider any unsolicited ideas. By submitting feedback, you waive any moral and proprietary rights you may have in that feedback.

4. ACCEPTABLE USE

4.1 General

You agree not to use Boydan for any unlawful or prohibited purpose under these Terms. You are solely responsible for your activity in connection with the Services and must comply with all applicable local, national, and international laws and regulations, including advertising, privacy, and communications standards.

4.2 Platform Policy

You must comply with Boydan’s Community and Platform Guidelines, which include acceptable use provisions regarding harassment, hate speech, impersonation, adult content, and platform manipulation. These guidelines are incorporated herein by reference.

4.3 Photographs and Sensitive Content

Photographs and media uploaded to Boydan must comply with our Content Policy and Photo Guidelines. Boydan maintains a zero-tolerance policy regarding child sexual abuse material (CSAM). Accounts posting or sharing such content will be permanently banned and reported to relevant legal authorities.

4.4 Prohibited Behaviors

You agree not to:

Upload or share content that is violent, abusive, harassing, threatening, discriminatory, sexually explicit, or otherwise objectionable;
Interfere with or disrupt the platform or networks connected to it;
Attempt to gain unauthorized access to Boydan systems, user accounts, or data;
Use automated tools such as bots, scrapers, or spiders without written consent;
Harvest or collect data from Boydan without permission;
Reverse engineer, decompile, or tamper with any Boydan functionality or source code;
Misuse the Services to harm, harass, deceive, or mislead other users;
Distribute promotional or commercial material without authorization (including spam);
Post false reviews, ratings, or location data intended to manipulate rankings or mislead users;
Engage in any behavior that violates intellectual property, privacy, or contractual rights of others.

Boydan reserves the right to investigate and take legal action against violators of this section, including removing content, suspending accounts, and reporting unlawful activity to authorities.

5. VIRTUAL CURRENCY AND CARD SERVICES

5.1 Virtual Currency: Diamonds

Boydan may offer a virtual currency system known as “Diamonds,” which users can purchase via supported payment methods to unlock specific features within the app, such as sending gifts, boosting visibility, or accessing premium experiences.

Diamonds are non-refundable, non-transferable, and have no monetary value outside the Boydan ecosystem. Once purchased, Diamonds cannot be exchanged for real currency or withdrawn. Users acknowledge that purchases of Diamonds are final, and Boydan is under no obligation to provide refunds or compensation for unused or lost Diamonds, including in cases of account termination due to violation of Terms.

Diamonds expire 12 months after purchase if not used. Promotional Diamonds or bonuses may have shorter expiration periods, as communicated at the time of grant.

5.2 Card Services

Boydan uses third-party payment processors (“Payment Processors”) to facilitate purchases made within the platform. When you purchase Diamonds or other services through the app (“Card Services”), your transaction is processed by these Payment Processors, and your use of such Card Services is subject to their respective terms, privacy policies, and applicable credit card rules.

Boydan is not responsible for any errors or disruptions caused by third-party Payment Processors. Transactional data provided to Boydan through these processors is collected and processed in accordance with our Privacy Policy. You authorize Boydan to obtain payment and transaction details relevant to your purchases solely for internal recordkeeping, support, fraud prevention, and analytics.

6. LOCATION DATA AND CHECK-INS

Boydan offers features that rely on the collection and use of your location data, including the ability to perform check-ins at physical venues such as cafes, restaurants, and bars. By using these features, you consent to the collection, storage, and processing of your precise or approximate location, which may be determined using GPS, Wi-Fi, IP address, or other technologies.

Location data is used to:

Enable the core functionality of check-ins,
Suggest nearby venues and stories from other users,
Populate leaderboards and rankings of popular venues,
Allow users to interact with others in proximity,
Improve service relevance and personalization.

Your location is only visible to other users if you explicitly share it via check-ins or story uploads. You may control your visibility settings via your account preferences. Please note that disabling location access may impact your ability to use key features of the Services.

We may also use aggregated and anonymized location data for analytical purposes, trend analysis, marketing insights, and to improve the Services. Such data will never be used to personally identify you without your explicit consent.

Boydan retains the right to store check-in data for internal use, quality assurance, and legal compliance. Users are prohibited from falsifying location data or attempting to manipulate venue listings and popularity metrics through deceptive check-ins or automated location spoofing tools.

7. USER INTERACTIONS AND SPECIAL TERMS

7.1 Messaging and User Interactions

Users may interact with each other via messaging, reactions to stories, and profile engagements. Boydan provides messaging services intended for appropriate, respectful communication. Any abuse, harassment, threats, or illegal behavior may result in account suspension or permanent ban.

Users may also send virtual gifts using Diamonds. All sent gifts are final and non-refundable. Users are responsible for their interactions and agree to communicate in good faith. Boydan does not mediate personal disputes unless a violation of these Terms or applicable law is evident.

We encourage all users to report inappropriate content or behavior through our in-app reporting tools or by contacting [email protected]. Reports may be handled through a combination of automated systems and manual review.

7.2 Special Terms for Business and Venue Profiles

If you manage or represent a venue listed on Boydan, or are granted “Verified Venue” status, the following applies:

You must be authorized to represent the business or organization.
Your page must not promote products or services prohibited to users under 18, such as alcohol, tobacco, or firearms.
All promotions or events must comply with local law.
You may not use misleading or deceptive tactics to gain check-ins or popularity.

Boydan reserves the right to revoke or suspend verified status at any time without notice.

7.3 Pages and Listings

Boydan may allow the creation of Pages for public venues, groups, or interest areas. These Pages are public by nature and subject to the same submission, privacy, and moderation policies outlined throughout these Terms. Any user who maintains a Page must comply with these Terms and applicable advertising, privacy, and content regulations.

7.4 Third-Party Links and Embeds

Boydan may display content from third-party sources or embed tools that link to external platforms. These are provided for convenience only. We do not endorse, monitor, or guarantee the accuracy of third-party content.

Your use of such links and any third-party services is at your own risk and governed by the terms and policies of those third parties.

8. ACCOUNT SUSPENSION AND TERMINATION

Boydan reserves the right to suspend, deactivate, or terminate your access to the Services at any time and for any reason, with or without notice. Grounds for termination may include but are not limited to:

Violation of any provision of these Terms;
Illegal, abusive, or fraudulent use of the Services;
Requests by law enforcement or other government agencies;
Extended periods of inactivity on your account.

Upon termination, your right to access the Services will immediately cease. Boydan may also delete any associated data, including profile content, check-in history, and messaging records. You agree that Boydan shall not be liable for any loss or damages related to termination or deactivation.

You may choose to terminate your account at any time through the settings panel in the Boydan app. If you terminate your account voluntarily, all purchases and Diamonds associated with your account will be forfeited, and no refund will be issued.

In cases of permanent suspension or termination, re-registration may not be allowed unless explicitly permitted by Boydan in writing.

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. WARRANTY DISCLAIMER

Boydan has no special relationship with or fiduciary duty to you. You acknowledge that Boydan has no control over, and no duty to take any action regarding:

which users gain access to the Services;
what Content you access via the Services;
effects, if any, the Content may have on you;
how you may interpret or use the Content;
or what actions you may take as a result of having been exposed to the Content.

You release Boydan from all liability for having acquired or not acquired Content through the Services. The Services may contain or direct you to websites containing information that some users may find offensive or inappropriate. Boydan makes no representations regarding any Content accessed through the Services and will not be responsible for its accuracy, legality, or decency.

You release Boydan from all liability relating to your interactions with other users. You understand that Boydan does not screen users, verify identities, or background-check any individual. Boydan shall not be liable for any harm resulting from communications or meetings with other users.

The Services are provided “as is” and “as available,” without warranties of any kind, either express or implied. Boydan disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

the Services will be secure or available at any particular time;
any defects or errors will be corrected;
the Services are free of viruses or other harmful components;
the results of using the Services will meet your expectations.

Some jurisdictions do not allow certain warranty limitations, so some of the above limitations may not apply to you.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Boydan, its subsidiaries and affiliates, and each of its directors, employees, agents, representatives, partners, suppliers, or content providers disclaim any liability for any loss, injury, claim, liability, or damage of any kind resulting from your access to or use of the Services, including but not limited to:

Indirect or consequential losses;
Loss of actual or anticipated profits or revenue;
Loss of goodwill or data;
Loss of anticipated savings or wasted expenditure;
Costs related to procurement of substitute goods or services.

If liability is determined by a court of competent jurisdiction, such liability shall be limited in aggregate to one hundred U.S. dollars ($100).

Nothing in these Terms excludes or limits your liability in relation to any indemnity you provide under these Terms. In jurisdictions that do not allow the exclusion or limitation of certain liabilities, our liability is limited to the maximum extent permitted by law.

For users in the European Economic Area (EEA), nothing in these Terms excludes or limits liability for:

Death or personal injury due to negligence;
Fraud or fraudulent misrepresentation;
Any breach of obligations implied by law.

11. GOVERNING LAW AND DISPUTE RESOLUTION

A printed version of these Terms and any electronically provided notices shall be admissible in legal proceedings to the same extent as other business documents originally generated in printed form. You agree that any cause of action related to the Services must begin within one (1) year after the cause arises, or it shall be permanently barred.

For Users outside the EEA: These Terms shall be governed by the laws of the State of New York and the United States of America. Disputes will be subject to the exclusive jurisdiction of courts located in the Southern District of New York.

For Users in the EEA: These Terms shall be governed by the laws of England. Disputes will be subject to the exclusive jurisdiction of the English Courts.

12. EXPORT CONTROLS AND SANCTIONS

You may not access or use the Services in violation of United States export control or economic sanctions laws. By using Boydan, you represent and warrant that your access to and use of the Services, content, or software will comply with these laws.

13. GOVERNMENT USE

The Services and any related documentation are deemed “Commercial Items” under 48 C.F.R. §2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation.” In accordance with applicable regulations, these materials are licensed to U.S. Government end users only as Commercial Items with the same rights as non-governmental end users.

14. APPLE & GOOGLE TERMS

Apple-Specific Terms: You acknowledge that:

These Terms are between you and Boydan, not Apple.
Apple has no obligation to furnish any maintenance or support services.
Apple bears no responsibility for any product liability claims, failure to conform to legal or regulatory requirements, or consumer protection claims related to the iOS Apps.
Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.

Google-Specific Terms: You acknowledge that:

These Terms are between you and Boydan, not Google.
Google is not responsible for any aspect of the Services including technical support, product liability, or regulatory compliance.
Google and its affiliates are third-party beneficiaries of these Terms and may enforce them.

15. INTEGRATION AND SEVERABILITY

These Terms constitute the entire agreement between you and Boydan with respect to the Services and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic). If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Waiver of compliance in any instance does not constitute a waiver in any other instance. Waivers must be in writing and signed by an authorized representative of Boydan.

16. EEA RIGHT TO CANCELLATION

If you are located in the European Economic Area (EEA), you may have the right to cancel these Terms under the European Distance Selling Directive within seven (7) days of acceptance. This right is voided if you begin to use the Services before the end of this cancellation period.

17. MISCELLANEOUS

Boydan is not responsible for any failure or delay caused by events beyond our reasonable control. These Terms are personal to you and may not be assigned or transferred without our prior written consent. Boydan may freely assign these Terms. No agency, partnership, or employment relationship is created by these Terms. Notices will be deemed given when received if delivered personally, by certified mail, or by email with confirmation of receipt.

For users in the EEA, nothing in these Terms shall confer rights or benefits on any third party, except where specifically stated.

18. LANGUAGE

Where translations of these Terms are provided, the English version shall govern. In the event of conflict between a translation and the English version, the English version will prevail.
